"Cash App Pay Services" means the program that enables Merchants (defined below) to obtain a Customer's (defined below) authorization to use the Customer's Cash App account to complete transactions with participating Merchants as provided by Block, Inc. ("Block").
Block is an independent third party not affiliated with Finix Payments, Inc. ("Finix"). The Cash App Pay Services enables a Cash App user who uses Cash App to pay for a transaction ("Customer") with a person or entity that accepts Cash App Pay for the sale of goods or services to such Customers ("Merchant"). Merchants may enter into an agreement with Finix to facilitate the purchase of, or payment of bills for, goods or services through clearance and settlement systems by agreements with other persons or entities, for the purpose of offering Cash App Pay to such Customers, and must register with Block and utilize the Cash App Pay API to process Cash App Pay transactions for Customers in accordance with the terms herein.
Upon accepting the terms of this Cash App Pay Addendum, Merchant agrees to comply with the rules governing the terms of service for Cash App Pay ("Program Rules") available at https://developers.cash.app/docs/partner/resources/program-rules, and the Merchant Use Policy available at https://developers.cash.app/docs/partner/resources/merchant-use-policy ("Merchant Use Policy"), each incorporated by reference. In the event of a conflict, the terms of this Cash App Pay Addendum shall govern to the extent of such conflict. Merchant is responsible for using the Cash App Pay Services in accordance with the Program Rules, the Merchant Use Policy, and all applicable laws and regulations, and may be responsible for claims by Customers as described in the Program Rules. All capitalized terms used herein will have the same meanings set forth in the Program Rules.
Merchant shall comply with all applicable federal, state, and local laws, rules, and regulations in connection with its use of the Cash App Pay Services, including but not limited to laws relating to anti-money laundering, sanctions, consumer protection, privacy, and data security. Merchant shall not submit any Transaction (as defined in the Program Rules) in violation of any applicable law or regulation.
Merchant acknowledges and agrees that each of Block and Finix reserve the right, in its sole discretion, to condition, limit, suspend, or terminate Merchant's use of the Cash App Pay Services at any time, for any reason or no reason, with or without notice.
Merchant must be registered with Block through the Cash App Pay API, either directly or through Finix, prior to initiating any payment using the Cash App Pay Services. Merchant shall provide all information reasonably requested by Block for purposes of registration and shall ensure that such information is accurate and complete.
The Cash App Pay Services are only available for transactions occurring entirely within the United States. Merchant shall not use the Cash App Pay Services for transactions outside the United States.
Merchant agrees to cooperate with Block and Finix in connection with any investigation of disputes, compliance inquiries, regulatory requests, or other material business needs. Merchant shall respond to and comply with Block's or Finix's requests for information within a commercially reasonable timeframe not to exceed ten (10) business days.
As used herein, "Cash App Pay Materials" means, collectively, the Cash App Pay APIs, any and all data accessed or obtained via the Cash App Pay APIs, and any Cash App Pay API-related documentation, software, and materials made available by Block, as may be amended or revised by Block from time to time. Merchant agrees that Block may collect, access and use any and all (i) usage data and information related to Merchant's use of Cash App Pay Materials ("Usage Data"), and (ii) data and information that Merchant provides through Cash App Pay APIs ("Merchant Data"), in each case, individually or in the aggregate, including, without limitation, providing the API Integration services and associated services; providing enhancements to the Cash App Materials; analyzing trends and preferences; and/or developing new products, services, features and functionality, or as otherwise permitted under the Program Rules. Merchant represents and warrants that it has all rights required to provide Usage Data and Merchant Data to Block for the purposes intended hereunder. Further, if Usage Data or Merchant Data includes personally identifiable information, Merchant agrees to obtain all necessary consents and authorizations from the applicable users (a) to provide such personally identifiable information to Block, and (b) for Block to use such personally identifiable information as provided herein, or as otherwise allowed under Block's Privacy Policy, and in each case in accordance with the Program Rules.
Block reserves the right to amend, modify, or update the terms of this Cash App Pay Addendum, the Program Rules, and the Merchant Use Policy from time to time without prior notice to Merchant. Merchant's continued use of the Cash App Pay Services following any such amendment shall constitute Merchant's acceptance of the revised terms. It is Merchant's responsibility to review these terms periodically for changes.
